External Review Terms

Prebreak Inc., a Delaware corporation
700 E Redlands Blvd U172, Redlands, CA 92373

Effective date:

These terms govern an invited external review session provided by Prebreak Inc. for the customer or project organization identified in your invitation (the “Inviting Organization”). They apply when conspicuously presented and accepted for that session. They grant limited review access, not a paid subscription or membership in the entire project. The Privacy Policy and Acceptable Use Policy are presented with these terms; privacy acknowledgment is not consent to unrelated processing.

Identity, scope, and permitted use

Use the session only as the intended, authorized recipient and for the stated review purpose. The invitation should identify the Inviting Organization, permitted documents and versions, available actions, and any expiry or download restrictions. Do not forward credentials or attempt to bypass identity checks, expiry, permissions, or restrictions. Ask the Inviting Organization to invite another reviewer directly.

You may view, comment on, or download only the material authorized for you. Access to one record does not grant access to later versions, internal comments, financial assumptions, alternate strategies, private drafts, or counsel-restricted work. Prebreak or the Inviting Organization may revoke or narrow access as permitted by law and the governing service agreement. Revocation cannot retrieve copies already lawfully downloaded or retained elsewhere.

Documents, comments, and responsibility

Review the document version and purpose shown. Materials may be drafts, provisional analyses, or superseded records; they are not necessarily the official submitted plan or an approved professional instrument. Prebreak does not make an agency determination or certify the Inviting Organization’s submission merely by hosting it.

You retain rights you have in your comments and attachments. You authorize Prebreak to store, display, transmit, and preserve them for the review session and the Inviting Organization’s related project record, subject to applicable law and data-protection obligations. This permission includes improvement use of eligible nonpersonal or properly de-identified review information where your authority, the Inviting Organization’s agreement and settings, and the Data Use and Model Improvement Policy permit it. It excludes unrelated marketing, restricted government or third-party material, and use of identifiable review content for other customers. Incompatible agency legal or policy restrictions control. Provide only material you are authorized to disclose and reasonably necessary for the review.

Comments remain associated with the reviewed version and may be retained with corrections or later responses. A comment, view, download, or acknowledgment does not by itself approve a project, satisfy a requirement, change a package, waive an objection, or bind an agency or employer. Substantive legal effects depend on the authorized act, applicable law, and official procedure.

Activity records and sharing

The session records identity and necessary access, view, download, comment, and security events. These records and submitted comments may be visible to the Inviting Organization, authorized project participants, and Prebreak personnel or providers who need them to operate or protect the service. The Privacy Policy explains requests and customer-directed processing. Do not upload credentials, unnecessary personal information, or privileged material without the required authorization and approved controls.

Government and public-record obligations

If you act for a public agency, follow your agency’s approved channels, records policies, accessibility procedures, and retention obligations. A Prebreak invitation is not a substitute for legally required filing, service, notice, public access, or an official agency system. Use does not start a statutory period unless applicable law and the required official act establish that result.

Documents and communications may be public records. A “confidential” label does not determine whether a record is exempt from disclosure. These terms do not impose a nondisclosure obligation that overrides public-record or retention law, waive governmental immunity, bind an agency to an unauthorized contractual commitment, or create or preserve legal privilege. If your agency cannot accept a term or use this channel, request an approved alternative before entering.

Rights, continuity, and disputes

These terms do not transfer ownership of project documents, expand third-party licenses, or give you authority to act for the Inviting Organization. You remain responsible for your own professional or official judgments. The Inviting Organization’s separate agreement with Prebreak governs service availability, security, retention, and Prebreak’s obligations to it; it does not make you personally liable for the customer’s subscription fees.

TO THE EXTENT LAWFUL, FREE REVIEW ACCESS AND HOSTED ANALYSES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ACCURACY, COMPLETENESS, FITNESS, NON-INFRINGEMENT OR UNINTERRUPTED ACCESS. PREBREAK EXCLUDES INDIRECT, CONSEQUENTIAL, SPECIAL, EXEMPLARY AND PUNITIVE DAMAGES AND LOST PROFITS, DATA OR OPPORTUNITY, AND LIMITS ITS AGGREGATE LIABILITY TO A REVIEWER UNDER THESE TERMS TO US$100. This does not limit a customer’s separate agreement rights or nonwaivable liability, including fraud, willful misconduct, and gross negligence or statutory duties to the extent nonwaivable. No additional indemnity, arbitration or class-action waiver is imposed on a public-agency reviewer. Mandatory law, governmental authority limits and valid separate agreements control. Contact the Inviting Organization about document scope or review substance, and hello@prebreak.com about access, privacy, or security issues.
